The following terms and conditions between Truespire and the customer cover any products or services provided by Truespire to the customer. These Terms are effective from the moment the customer establishes an account with Truespire. These Terms are also due to change from time to time at Truespire’s discretion. Any changes to these terms will become effective towards the customer thirty days after the newest revision is posted and the client is notified.
A. Hosting Services
In return for the fees paid by the customer, Truespire will host the customers website on one or more of our servers. The services will be provided according to the specifications listed on the hosting page at the time of signup. The services refer to website hosting services and additional email hosting services if applicable to the customer.
The customer agrees to be of legal age to form a contract and to provide accurate contact and identification information at the time of signup. The customer is responsible for all content hosted on their website.
B. Payment & Fees
The following agreement between Truespire, Inc., and the customer provides Truespire with the permission to charge the customer for scheduled, renewable services or fees incurred on a monthly, quarterly, annual, or other consistent periodic basis. This authorization will remain in effect until Truespire has received written notification from the customer of its termination.
The customer agrees to hereby authorize Truespire Inc. to keep this authorization and signature on file. The customer agrees to be held responsible for the payment of fees for renewable services and products provided by Truespire in accordance with Truespire’s fee schedule. Truespire’s policies and prices are subject to change at anytime and become effective in the next billing term. Unless this agreement is terminated or cancelled by the customer, the services provided by Truespire will be renewed automatically and Truespire will be authorized to collect the applicable fees or amount due using the credit card or payment information on file.
C. Cancellation & Refunds
This agreement can be cancelled at any time by sending written notification to Truespire. Truespire does not give pro-rated refunds if cancellation is initiated by the customer during the middle of a billing cycle. At the time of cancellation, any hosting, services or products provided by Truespire will be disabled. Truespire also reserves the right to terminate this agreement effective immediately and without notice if the customer violates any of the terms set forth in this agreement.
D. Consulting & Hourly Work
Any services which Truespire provides on a non-renewable basis will be billed at 2% 5, Net 30. These services include, but are not limited to, consulting, website updates, configuration changes, server tuning, server changes, DNS updates and communication with the customer. Truespire will charge it’s base hourly billing rate for any and all non-renewable services provided.
If the customer does not pay their due fees according to our billing policy an invoice and statement will be sent to the customer as a reminder. Each time Truespire sends a reminder invoice and statement, billable hourly work is incurred at the customer’s expense. This time will be taken into account and a late fee will be added to the customer’s outstanding bill. Truespire reserves the right to waive late fees as necessary.
E. Interim Charge Cap
Truespire reserves the right to put a cap on outstanding debt for any customer. The cap amount will be a value deemed necessary based on the customer in question and Truespire’s history with that customer. Once the outstanding debt cap is reached, Truespire will suspend work until an interim payment is received. Truespire reserves the right to waive this cap for any client as seen necessary by Truespire.
F. Right to Refuse Service
Truespire retains the right to refuse services to any customer as determined by Truespire and Truespire alone.
By agreeing to any contract or hosting agreement, creating an account, or agreeing to any other written agreement for hourly or contract with Truespire, the customer agrees to these Terms of Service.
